Re-domicile / Transfer of Incorporation Process:

Re-domicile, also known as Transfer of Incorporation, is the process of moving a company’s legal registration from RAKEZ to another authority or jurisdiction, without closing the company and setting up a new company

Customer Journey

  • Apply for NOC

    Apply by email or visit any RAKEZ branch.

  • Submit Documents

    Submit the required documents, including the Special Resolution Template.

  • RAKEZ Review

    RAKEZ reviews the request and issues the quotation.

  • Pay & Receive NOC

    Pay the fees and receive the NOC.

  • Contact New Authority

    Use the NOC to request the Certificate of Continuation or equivalent document.

  • Login to 360 Portal

    Access RAKEZ 360 Portal and select Company Services De-registration.

  • Upload & Submit

    Upload the required documents and submit the de-registration request.

  • Approval & Final Certificate

    RAKEZ reviews the request, payment is completed, and the Transfer of Incorporation Certificate is issued.

Required Documents

Apply for the NOC

To start the re-domicile process, you must first apply for a No Objection Certificate (NOC) from RAKEZ.

You can apply by email or by visiting any RAKEZ branch.

Submit the Required Documents

Submit all required documents, including the Special Resolution Template stating the company’s intention to transfer its incorporation to another authority.

RAKEZ will review your request. Once approved, a quotation will be issued.

After you pay the required fees, RAKEZ will issue the NOC.

Contact the New Authority

Use the RAKEZ NOC to contact the new authority where you want to transfer the company.

Request a Certificate of Continuation or an equivalent document from the new authority confirming the re-domiciliation.

Apply for De-registration on RAKEZ 360 Portal

After receiving the Certificate of Continuation, log in to the RAKEZ 360 Portal.

Go to Company Services and select De-registration.

Upload Documents and Submit the Request

Upload the required documents and submit your de-registration request through the portal.

RAKEZ Review and Payment

RAKEZ will review the de-registration request.

Once approved, a quotation will be issued.

After you pay the required fees, RAKEZ will complete the de-registration request.

Receive the Transfer of Incorporation Certificate

Once the process is completed, you will receive the Transfer of Incorporation Certificate from RAKEZ.

Terms & Conditions

  • RAKEZ will issue a Certificate confirming the company’s transfer from RAKEZ to the new jurisdiction, under RAKEZ Companies Regulations, upon payment of AED 2,000.
  • No publication is required for the Transfer of Incorporation.
  • RAKEZ will strike off the company name from the Register of Companies.
  • All required clearances must be obtained from third parties and submitted to RAKEZ.
  • NOC/approval is required for any facility with an outstanding mortgage or security interest.
  • RAKEZ may request additional documents or attestations if needed.
  • Employee visa cancellation must be completed before license cancellation, except for investors, partners, and company managers, whose visas will be cancelled during the license cancellation process.
  • Facilities with outstanding mortgages or security interests must obtain NOC/approval from the relevant bank.
  • The facility must be returned to its original condition, including removal of any civil/electrical modifications and signboards.
  • Power of Attorney (POA) must be submitted for verification and must be attested by the UAE Embassy in the country of issuance if needed.
  • After receiving the certificate, the company must cancel its records on the Federal Tax Authority (FTA) portal to avoid penalties.
